Online Courses and Digital Training Addendum
ONLINE COURSES & DIGITAL TRAINING ADDENDUM
LAST UPDATED: 16/10/2026
This Online Courses & Digital Training Addendum (this "Addendum") supplements and forms an integral part of the Website Terms of Use and the Terms and Conditions of Sale operated by Innove Beauty and Wellness Limited ("Company", "Seller", "we", "us", or "our"), a company registered in England and Wales (Company No. 17075271, VAT No. GB525226117), with its registered office at 2nd Floor College House, 17 King Edwards Road, Ruislip, London, United Kingdom, HA4 7AE, together with its parent and affiliated entities, including Innove, Inc. (d/b/a Innove Beauty & Wellness).
By purchasing, enrolling in, accessing, streaming, downloading, or otherwise using any Online Course or Course Materials offered through https://norvelltanning.co.uk (the "Website") or any associated learning management system or training portal, you ("Purchaser", "Student", or "you") agree to be bound by this Addendum, the Website Terms of Use, and the Terms and Conditions of Sale.
1. SCOPE, DEFINITIONS, AND ORDER OF PRECEDENCE
A. Relationship to Existing Terms. Capitalised terms used but not defined in this Addendum shall have the meanings given to them in the Website Terms of Use and the Terms and Conditions of Sale. For the purposes of this Addendum:
- "Online Course" means any digital training programme, e-learning course, on-demand video module, live or recorded webinar, virtual masterclass, assessment, or certification programme offered or supplied by Seller.
- "Course Materials" means all digital content, videos, audio recordings, training manuals, workbooks, PDFs, shade guides, quizzes, assessments, slides, and other instructional resources made available as part of an Online Course.
- "Student" means the single named individual enrolled in and authorized to access an Online Course.
- "Certificate" means any digital or physical certificate of completion, badge, or credential issued by Seller upon a Student's successful completion of an Online Course.
B. Applicability of Terms. All references to "Services" and "Company Materials" in the Website Terms of Use, and all references to "Products" in the Terms and Conditions of Sale, shall be deemed to include Online Courses and Course Materials, subject to the digital-specific provisions set out below. In the event of any conflict or inconsistency between this Addendum and the Website Terms of Use or the Terms and Conditions of Sale with respect to any Online Course or Course Materials, the provisions of this Addendum shall prevail.
2. ORDERS, CONTRACT FORMATION, AND DIGITAL FULFILLMENT
A. Formation of Contract for Online Courses. Section 2(A) of the Terms and Conditions of Sale (which provides that a contract is formed upon physical dispatch of Products) is modified for Online Courses as follows: A legally binding contract between Seller and Purchaser for the supply of an Online Course shall be formed when Seller sends a written confirmation that your enrollment is active and grants you access to the Online Course (whether via an enrollment confirmation email, login link, access code, or activation within your Website account), which shall constitute the "Dispatch Confirmation" for the Online Course.
B. Digital Delivery; Inapplicability of Physical Shipping Terms. Online Courses and digital Course Materials are delivered electronically via our Website or our designated third-party learning management system ("LMS"). No physical delivery charges apply to standalone Online Courses. Save where an Online Course is purchased as part of a bundle containing physical Products (such as spray tanning equipment or solutions), the physical delivery, INCOTERMS® 2020 (EXW), carrier risk-passing, and physical retention-of-title provisions in Section 5 of the Terms and Conditions of Sale do not apply to Online Courses.
C. Technical and System Requirements. You are solely responsible for ensuring that you have a compatible device, up-to-date web browser, PDF reader, and a stable broadband internet connection sufficient to stream video content and access the LMS, as well as your own virus protection software. Seller shall not be liable for your inability to access or complete an Online Course due to inadequacies in your hardware, software, network configuration, or internet service.
3. SINGLE-SEAT LICENCE AND SALON/GROUP RESTRICTIONS
A. Grant of Single-Seat Licence. Subject to full payment of the applicable course fee and your strict compliance with this Addendum, Seller grants the enrolled Student a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable licence (a "Single-Seat Licence") to access, stream, and view the Online Course and download one (1) copy of any expressly downloadable Course Materials solely for that individual Student's personal educational use or individual professional development in connection with genuine Norvell® Products.
B. Clarification of "Internal Business Use" (No Group Sharing). For the avoidance of doubt, the references to "legitimate internal business use" and "authorized internal business use" in Sections 7 and 15 of the Website Terms of Use do not permit multi-user access to an Online Course. Unless a Business Customer has expressly purchased a multi-seat salon training package or corporate licence in writing from Seller:
- Each Online Course purchase is valid for one (1) named individual Student only;
- A Business Customer (including any salon, spa, clinic, or mobile business owner) must not share account login credentials among multiple employees, technicians, or contractors;
- You must not broadcast, screen-share, project, or play an Online Course to multiple individuals simultaneously (for example, in a group staff training session); and
- Once an Online Course has been accessed by a named Student, the Single-Seat Licence cannot be transferred or reassigned to another employee or individual (including where the original Student leaves the Business Customer's employment).
C. Strict Anti-Piracy and Recording Restrictions. In addition to the prohibitions in Section 9 of the Website Terms of Use and Section 10 of the Terms and Conditions of Sale, you must not (and must not permit any third party to):
- Screen-record, capture, rip, download (except for PDFs or files expressly marked by Seller as downloadable), or copy any video, audio, or interactive stream forming part of an Online Course;
- Upload, post, share, torrent, or distribute any Course Materials, exam questions, or answers on any file-sharing site, social media platform, forum, or third-party marketplace (including Amazon, eBay, TikTok Shop, Etsy, or similar platforms);
- Use any Course Materials to create, market, or deliver your own competing spray tanning training course, academy, or instructional materials; or
- Use any automated scraper, bot, or AI tool to transcribe, summarize, or extract text or data from any Online Course.
D. Audit and Enforcement. Seller reserves the right to monitor LMS access logs (including concurrent logins, IP addresses, and device identifiers) to detect unauthorized credential sharing or piracy. Any breach of this Section 3 constitutes a material breach of the Website Terms of Use and the Terms and Conditions of Sale, entitling Seller to immediately suspend or terminate your access to the Online Course without refund, revoke any Certificate issued to you, and pursue injunctive relief and damages.
4. COURSE ACCESS DURATION, UPDATES, AND AVAILABILITY
A. Access Window. Unless a specific access period (such as 90 days, 6 months, or 12 months) is stated on the relevant Online Course product page at checkout, your Single-Seat Licence to access an Online Course shall remain active for twelve (12) months from the date of the Dispatch Confirmation (enrollment confirmation), provided the Online Course continues to be offered by Seller and your account remains in good standing.
B. Course Updates and Platform Migration. Seller reserves the right at any time to update, revise, edit, or replace Course Materials to reflect updated tanning formulations, equipment changes, technique refinements, or UK/EU regulatory developments, as well as to migrate Online Courses to a different LMS or hosting platform.
C. Discontinuation of Courses. If Seller elects to permanently discontinue an Online Course, Seller will either maintain LMS access for currently enrolled Students until their applicable access window under Section 4(A) expires or provide enrolled Students with at least sixty (60) days' prior written notice by email to complete the Online Course and download any permitted Course Materials and Certificates before access is retired. If Seller must retire access to an Online Course prior to the expiration of an enrolled Consumer's active access window and before that Consumer has completed the Online Course, Seller will provide the Consumer with either access to a comparable replacement Online Course or a fair pro-rata refund in accordance with applicable UK and EU consumer law.
5. CANCELLATIONS, REFUNDS, AND DIGITAL COOLING-OFF WAIVER
(This Section 5 supplements and modifies Section 6 of the Terms and Conditions of Sale with respect to Online Courses and digital content.)
5.1 Consumer Right to Cancel & Express Waiver for Digital Content (UK & EU B2C)
A. Statutory 14-Day Cooling-Off Period for Digital Contracts. If you are a Consumer residing in the United Kingdom or the European Economic Area, you have a statutory right under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (Regulation 30) and the EU Consumer Rights Directive (2011/83/EU) to cancel your contract for an Online Course within fourteen (14) days after the day on which the contract is entered into (the date of your enrollment confirmation), subject to the immediate access waiver in Section 5.1(B) below.
B. LOSS OF RIGHT TO CANCEL UPON ACCESSING OR DOWNLOADING COURSE CONTENT:
Under Regulation 37 of the UK Consumer Contracts Regulations 2013 and Article 16(m) of the EU Consumer Rights Directive, you do NOT have a right to change your mind and cancel your purchase of an Online Course once the supply (streaming, viewing, or downloading) of the digital content has begun, provided that you gave your prior express consent to start accessing the Online Course during the 14-day cooling-off period and acknowledged that you would thereby lose your right to cancel.
- When you request immediate access to an Online Course at checkout (or within your learning portal prior to the expiry of the 14-day period) by ticking the required confirmation box, you expressly consent to the immediate supply of the digital content and acknowledge that your statutory 14-day right to cancel and receive a refund is permanently lost the moment you first log into the course module, stream or play any course video, or download any Course Materials.
C. Cancellation Prior to Accessing Course Content. If you are a Consumer within the 14-day cooling-off period and you have not yet accessed, streamed, viewed, or downloaded any part of the Online Course or Course Materials, you may cancel your order for a full refund by notifying us in writing at uk.info@innovebw.co.uk before the 14-day period expires and before accessing the course. Upon receiving a valid cancellation notice, we will deactivate your enrollment and refund the price paid to your original payment method within 14 days.
5.2 Course and Physical Product Bundles
Where an Online Course is sold as part of a bundled package alongside physical Products (such as a starter kit containing spray tanning machines, tents, or tanning solutions):
- Any physical cosmetics, tanning solutions, or hygiene Products in the bundle remain strictly subject to the Unsealed Cosmetics & Hygiene Products Exemption in Section 6.1(B) of the Terms and Conditions of Sale; and
- If you are a Consumer and you access, stream, or download any part of the Online Course within the 14-day cooling-off period after giving your express consent, you lose your right to cancel the Online Course portion of the bundle, and any permitted return of unopened, sealed physical items from the bundle will have the full standalone retail price of the Online Course deducted from the refund (in accordance with Section 6.1(E) of the Terms and Conditions of Sale).
5.3 Business Customers (B2B): All Digital Sales Final
If you are a Business Customer (including any salon, spa, mobile spray tan technician, or trade buyer purchasing an Online Course for professional training or staff certification):
- Statutory consumer cooling-off rights do not apply to Business Customers.
- All purchases of Online Courses and digital Course Materials by Business Customers are final and non-refundable immediately upon purchase. The 20% restocking fee return option for unopened physical goods in Section 6.2 of the Terms and Conditions of Sale does not apply to Online Courses.
6. CERTIFICATIONS, ASSESSMENTS, AND ACCREDITATION DISCLAIMERS
A. Requirements for Certification. Where an Online Course offers a Certificate (such as a "Norvell® Certified Technician" certificate), issuance of the Certificate is conditional upon the enrolled Student personally completing all required course modules, achieving the minimum passing score on any required theory quizzes or practical assessments, and paying all course fees in full.
B. Revocation of Certification. Seller reserves the right to withhold, suspend, or revoke any Certificate if:
- We discover that the Student engaged in cheating, plagiarism, identity misrepresentation, or shared account credentials in breach of Section 3;
- The purchase payment for the Online Course is reversed or subjected to an unwarranted chargeback in breach of Section 4(A) of the Terms and Conditions of Sale; or
- The Student or associated Business Customer materially breaches the product safety, storage, patch-testing, or authorized sales channel rules set out in the Terms and Conditions of Sale.
C. No Guarantee of Local Licensing, Government Accreditation, or Insurance Coverage.
- Online Courses are proprietary brand and technique training programmes designed by Seller and its affiliates. Unless expressly stated otherwise on the specific course description page on our Website, completion of an Online Course and receipt of a Certificate does NOT constitute a formal government-regulated vocational qualification (such as an NVQ or Ofqual-regulated award) and does not automatically satisfy local council licensing requirements (such as special treatment licences).
- While many beauty and salon liability insurers recognize Norvell® training, insurance underwriting rules vary by provider and jurisdiction. It is your sole responsibility before purchasing an Online Course to verify with your local authority and your professional indemnity / public liability insurance provider whether the specific Online Course meets their requirements for coverage. Seller makes no warranty that any third-party insurer or regulatory body will accept an Online Course Certificate, and no refunds will be issued on that basis.
D. Use of "Norvell Certified" Titles and Badges. Upon earning a valid Certificate, a Business Customer or Student may truthfully state that the individual Student has completed the relevant Norvell® Online Course and may display the Certificate at the Business Customer's approved physical salon premises, subject always to the Limited Trade Mark Licence and brand guidelines in Section 9(C) of the Terms and Conditions of Sale. Completion of an Online Course by one technician does not entitle a salon to represent that all of its staff are Norvell® Certified, nor does it create any partnership, agency, or official accrediting body relationship with Seller.
7. EDUCATIONAL DISCLAIMERS AND LIMITATION OF LIABILITY
A. Application Technique and Client Care Remain Your Responsibility. Online Courses and Course Materials are provided for educational and instructional purposes only. Because Seller cannot supervise your physical salon environment, equipment maintenance, hygiene practices, or hands-on application technique in person:
- You remain solely responsible for performing mandatory 24-hour client patch tests, checking INCI ingredient lists, maintaining adequate salon ventilation, and complying with all COSHH, electrical safety, and UK/EU Cosmetics Regulation requirements in accordance with Sections 7.2 and 11(A) of the Terms and Conditions of Sale; and
- Seller shall have no liability whatsoever for any unsatisfactory tan results, streaking, colour variance, fabric staining, skin irritation, allergic reaction, or client claim arising from treatments performed by a Student following an Online Course.
B. No Earnings or Business Success Guarantee. Any business, marketing, pricing, or salon-growth tips shared within an Online Course are provided as general educational examples only. Seller makes no representation, warranty, or guarantee that purchasing or completing an Online Course will result in any specific level of client demand, revenue, profit, or business success.
C. Limitation of Liability and Statutory Digital Content Rights.
- Business Customers: The warranty disclaimers in Section 7.3, the exclusions of indirect and consequential losses in Section 8.2(A), the aggregate liability cap of 100% of the price paid for the specific Product giving rise to the claim in Section 8.2(B), and the indemnification obligations in Section 17 of the Terms and Conditions of Sale apply in full to your purchase and use of any Online Course and Course Materials.
- Consumers: Nothing in this Addendum affects your mandatory statutory rights under Chapter 3 of Part 1 of the UK Consumer Rights Act 2015 (or EU Directive (EU) 2019/770 on contracts for the supply of digital content and digital services) requiring digital content to be of satisfactory quality, fit for a particular purpose, and as described. If an Online Course supplied to a Consumer is faulty or fails to conform to the contract, you are entitled to repair or replacement of the digital content (or, if repair or replacement is impossible or not provided within a reasonable time without significant inconvenience, a price reduction up to a full refund).
8. GOVERNING LAW AND DISPUTE RESOLUTION
This Addendum, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or any Online Course, shall be governed by and construed in accordance with the laws of England and Wales, and shall be resolved in accordance with the governing law, jurisdiction, and waiver provisions set out in Section 19 of the Website Terms of Use and Section 18(B) of the Terms and Conditions of Sale.
